For the sole purpose of implementing a holding company structure, on November 8,
2006, an Agreement and Plan of Reorganization was filed. Under that Plan of
Reorganization, Hecla Mining Company, a new Delaware corporation organized on
August 7, 2006, and formerly named Hecla Holdings Inc., became the successor
issuer to Hecla Limited, formerly named Hecla Mining Company. In addition, Hecla
Limited became a wholly-owned subsidiary of Hecla Mining Company.

Statements.
